These Terms and Conditions ("Terms") govern your use of QuoteMan software services. By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.
(A). Grant of License: Subject to these Terms, QuoteMan grants you a non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes.
(B). Restrictions: You shall not: (a) license, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make the Services available to any third party; (b) modify or make derivative works based upon the Services; (c) reverse engineer or access the Services in order to build a competitive product or service; (d) copy any features, functions, or graphics of the Services.
(A). Registration: In order to access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
(B). Security: You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account.
(A). Fees: The use of certain features of the Services may require payment of fees. You agree to pay all fees specified by QuoteMan in connection with your use of the Services.
(B). Payment Method: You agree to provide QuoteMan with valid and updated payment information. You authorize QuoteMan to charge such payment method for all applicable fees.
(A). Ownership: QuoteMan retains all right, title, and interest in and to the Services, including all intellectual property rights therein.
(B). Feedback: You may provide QuoteMan with suggestions, enhancement requests, recommendations, or other feedback relating to the Services ("Feedback"). You hereby grant QuoteMan a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate the Feedback into the Services.
Privacy Policy: Your use of the Services is subject to QuoteMan's Privacy Policy, which is incorporated into these Terms by reference.
(A). Termination by You: You may terminate your account and these Terms at any time by contacting QuoteMan customer support.
(B). Termination by QuoteMan: QuoteMan may, in its sole discretion, terminate your account and these Terms if you violate any provision of these Terms.
As-Is Basis: The Services are provided on an "as-is" and "as-available" basis, without warranties of any kind, either express or implied.
Exclusion of Damages: In no event shall QuoteMan be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Services.
Jurisdiction: These Terms will be governed by and construed in accordance with the laws of our jurisdiction, without regard to its conflict of law principles.
Modification: QuoteMan reserves the right to modify or replace these Terms at any time. If a revision is material, QuoteMan will provide at least 30 days' notice prior to any new terms taking effect.
